AMENDED AND RESTATED BY-LAWS
As of May 1, 2018
DEFINITIONS:
Wherever they appear in this document, GHMGA, the general membership and the Association are synonymous with each other and the Grand Haven Men’s Golf Association.
Wherever they appear in this document, the Board and the Board of Directors are synonymous with each other and the Officers consisting of the President, Vice President, Treasurer, WebMaster, Membership Director, Tournament Director, Communications Director, Rules and Grounds, and Sunshine. Board Officers/Directors are defined as those persons who have been duly elected or appointed to serve as provided for within this document.
ARTICLE I - PURPOSE AND OBJECTIVES
The Purpose of the GHMGA is to create and maintain a social environment for male members of the Golf Club at Grand Haven or to any individual or organization succeeding the Golf Club at Grand Haven by purchase, by a change of name from its existing designation or otherwise. The objectives of the GHMGA are:

To stimulate interest in golf and the Golf Club at Grand Haven by bringing together a group of golf members desirous of belonging to a men’s golfing association and fostering a close bond and fraternity among its members for their mutual benefit and pleasure.

To encourage conformance to the USGA Rules of Golf by creating a representative authority and promoting and preserving the best interests and spirit of the game of golf.

To promote and conduct golf tournaments among members, members of other organizations or associations and to provide an authoritative body to govern and conduct golf events
ARTICLE II - MEMBERSHIP
Membership in the GHMGA is open to all male golfers over the age of 21 who are members of the Grand Haven Golf Club.
Privileges:
Members in good standing as determined by the Board, shall have all rights and privileges of the Association and permitted to play in all Association tournaments. They have the right to vote for officers and on proposed amendments as well as any other items requiring a vote by the association. They are eligible to hold office and chair any committee, providing they are suitably present in order to fulfill their designated responsibilities.
Conditions:
Applicants for membership shall attain member-in-good-standing status by voluntarily accepting the By-Laws of the GHMGA, subscribing to the objectives, purposes and ideals of GHMGA, by paying dues in a timely manner in the amount prescribed by the Board, by observing and upholding the rules and etiquette of golf as set forth by the USGA, by submitting an application form, and by accepting and observing all decisions and rulings of the Board acting within its jurisdiction. Adherence to these conditions is a continuing requirement for member-in-good-standing status. Failure to comply is grounds for revocation of privileges and/or membership by the Board.
ARTICLE III FINANCIAL MATTERS
Fiscal Year:
The fiscal year of GHMGA shall begin on July 1st and end on June 30th of the following year.
Dues:
All members must pay dues in an amount and manner prescribed by the Board. Dues are payable at the time of membership acceptance of new members and upon renewal memberships of current members. In order for a current member to maintain his member-in-good-standing status, his dues must be paid on or before the 31st day of July of the fiscal year for which he wishes to renew. New members joining after July 1st shall be entitled to all GHMGA privileges for the fiscal year in which they become a member. New members joining after the last luncheon in a fiscal year may have their dues applied to the following fiscal year.
Expenditures:
Routine expenditures of GHMGA will be approved and dispersed by the Treasurer. Other expenditures are to be approved by the Board. Monies collected at GHMGA-managed events shall be turned over to the GHMGA Treasurer to be appropriately distributed. In case of event cancellation, monies collected will be returned to members or applied to subsequent events.
Accountability:
All monies of GHMGA shall be deposited in the GHMGA bank account and shall be strictly accounted for and controlled by the Treasurer. All disbursements shall be signed by the Treasurer and, when mandated by the Board, shall be countersigned by the President or Vice-President. GHMGA does not take, nor shall it assume, liability for any claims of any nature incurred by a member or group of members unless specifically authorized, in writing, in advance by the Board. Claims not so authorized shall be the sole responsibility of the individual or individuals involved. Monies not directly involved with the betterment of GHMGA shall only be disbursed upon an appropriate vote of the Board.
Dissolution:
Voluntary dissolution of GHMGA shall occur after a majority vote of a minimum of two-thirds of the general membership in attendance at a General Meeting to accept dissolution. Any funds of GHMGA shall be donated to Junior Golf Programs as decided by the Board of Directors.
ARTICLE IV BOARD
How Constituted:
The Board, sometimes referred to as the Board of Directors, shall consist of the President, Vice President, Treasurer, Membership Director, Tournament Director, Web-Master, Communications Director, Rules and Grounds, and Sunshine. These officers will be elected by a majority vote of a minimum of two-thirds of our membership in attendance at a General Membership meeting. Voting may be accomplished by members in good standing through ballots accomplished during the meeting or a show of hands to get the two-thirds required ballots/votes.
Authority:
The Board assumes the responsibility to act in a fiduciary capacity and is responsible for the prudent and timely management of GHMGA and is authorized to manage the affairs, property and policies of GHMGA. In the event of a vacancy in the office of President, the Vice President shall assume his duties. If a duly elected member of the Board tenders a resignation or is unable to perform his duties for other reasons, the President may select, with Board approval, an interim Board member from the general membership, or the Board, with full Board voting rights. The Board of Directors is responsible to encourage and actively seek members willing to participate as officers of the Board and have their names entered on the ballot during an election cycle.
Requirements for Office:
All officers must be members in good standing of GHMGA and they are expected to actively participate in GHMGA events.
ARTICLE V TERMS AND DUTIES OF BOARD OFFICERS
Term of Officers:
All elected officers are elected for a one-year term. The Vice President normally takes over as President after serving one year as the Vice President. Normally, Board Members will serve no more than two terms of office in a given Board position. However, when the Board is unable to recruit and encourage a GHMGA member to submit his name for a ballot position, the respective Board member may serve for additional terms.
Duties: THE PRESIDENT
shall serve as chairman of the GHMGA, schedule, preside at and conduct membership meetings and Board meetings, appoint Directors for committees and call special meetings as required. The President shall represent the interests of the GHMGA to the Grand Haven Advisory Committee as well as to the Golf Pros and Staff as applicable. The President will also specifically appoint, with Board approval, additional Board Members should vacancies occur. He will coordinate with the Tournament Director, Communications Director and Web Master to get pertinent information concerning Shootouts, Tournaments, Spotlight Golfer, Agendas and other Pertinent Information on the Web Site.
THE VICE-PRESIDENT
is President-Elect for the next rotation of the office of President. As Vice-President, he will assist the President in the execution of his duties and act for the President in his absence. The Vice-President will also act as recording secretary and issue minutes of Board and Membership meetings. He will coordinate with the Web Master to get minutes published on the Web Site in a timely manner.
THE TREASURER
will collect and account for all monies, make disbursements by check, maintain a record of all financial transactions and provide fiscal reports to the Board of Directors. On a frequent and regular basis, he shall communicate with the Board to assure conformity of membership information and he shall notify all Board members of additions to the Membership.
THE MEMBERSHIP DIRECTOR
will collect and maintain applications for membership and be responsible for keeping updated membership rosters available to the Board. On a frequent and regular basis he shall communicate with the Treasurer to assure conformity of membership information and he shall notify all Board members of additions to the Membership.
THE TOURNAMENT DIRECTOR
shall determine format and schedule all weekly tournaments and work with the Pro Shop to ensure quality implementation each week. The Tournament Director is responsible for scheduling and coordinating any other Club tournaments sponsored by the GHMGA.
THE WEB MASTER
shall be responsible for keeping the GHMGA web site current. He may receive data and important information from the pro shop and, if appropriate, include this on the web site. He will closely coordinate with the President and Vice-President to add, recommend and display information of interest and importance to the membership.. To that extent, the Board relies on the Web Master to recommend topics and information which are appropriate to the GHMGA web site.
THE COMMUNICATIONS DIRECTOR, RULES and GROUNDS, and SUNSHINE
Board Members duties will be assigned by the President and Vice President.
ALL BOARD MEMBERS
will carry out duties assigned by the President and they may also be assigned to take the lead on special activities that may be suggested by the Board.
ARTICLE VI OTHER COMMITTEES
Other than committees mentioned above, the Board may suggest and form other committees as appropriate for specific functions and events. Those committees will generally be formed for a short term and will be chaired by a Board Member or a volunteer from the membership.
ARTICLE VII AMENDMENTS
Proposed amendments to these by-laws shall be posted on the GHMGA website for inspection by the general membership for a minimum of two weeks and/or delivered to the membership via electronic means and allowing one week for inspection

The amended document will become effective if a minimum of two-thirds of the membership in attendance at a General Membership meeting vote in the affirmative
